The above Guidelines was issued on March 26 2020. According to this guidelines, public companies are entitled to take advantage of section 230 of the Companies and Allied Matters Act on the use of proxies. However, for this to successfully happen, the approval of the Corporate Affairs Commission must have been obtained through an application made to its headquarters in Abuja or to any of its branches across all the states in Nigeria. Also, representatives of the CAC will be present at the meeting and only the ordinary business of an Annual General Meeting (as provided in section 214 of CAMA) will be dicussed. The notice of meeting shall be sent to all, who are entitled to receive such notice and all members shall be advised in the notice that in view of the pandemic attendance shall only be by proxy and evidence of the delivery or postage of such notice will be provided to the CAC after the meeting. In addition, the company shall be guided by the provisions of CAMA as regards quorum.
